These Terms of Agreement (the “Agreement”) govern your participation in the Master Affiliate Network (the “Network”, “we”, “us”, or “our”), a digital performance marketing platform operated by Master Consultancy LTD, a company registered in England and Wales, with its registered office at 124-128 City Road, London, United Kingdom, EC1V 2NX.
By submitting an application or participating in our platform as an affiliate (“Affiliate”, “you”, “your”), you acknowledge and agree to be bound by the terms of this Agreement, in conjunction with our Privacy Policy, Offer Terms, and applicable laws. If you do not agree to these terms, do not register or engage with our platform.
1. Overview of Relationship
This Agreement creates a non-exclusive, performance-based relationship between you (the Affiliate) and Master Consultancy LTD. As an affiliate, you are an independent contractor and not an employee, agent, partner, or legal representative of Master Consultancy LTD. You will promote offers made available on our platform in exchange for agreed-upon commissions.
Nothing in this Agreement grants exclusivity to you or requires Master Consultancy LTD to provide a minimum level of business or income.
2. Account Registration and Eligibility
To participate in our network, you must:
- Be at least 18 years old and legally capable of entering into binding agreements.
- Provide accurate, complete, and up-to-date information during registration.
- Maintain a valid email address and contact information.
- Pass any required manual or automatic approval process, which may include an interview or traffic review.
- Agree to abide by all applicable international laws, especially in data privacy, advertising, and digital commerce.
We reserve the right to accept, reject, or terminate any application or account at any time without the obligation to provide a reason.
3. Traffic Verticals and Campaign Types
We specialize in and accept promotional efforts across the following verticals:
a. Dating
- Models: SOI, DOI, CPL, RevShare
- Includes both mainstream and adult dating
- Regional and language-specific offers available
- Requires adherence to age-gating and adult content laws where applicable
b. Sweepstakes (Sweeps)
- Email submits, ZIP submits, and survey flow offers
- Incentive-based and lead-gen models
- Must comply with regional laws concerning contests and prize promotions
c. Nutra (Nutraceuticals)
- Health, wellness, and beauty products (e.g., weight loss, CBD, skincare)
- Trial offers, COD models, direct sales
- Requires extra scrutiny on claims, compliance, and creatives
d. ZIP Submit
- 1-field lead generation forms typically used for geo-fencing or sweeps
- Quick conversions, high volume
- Must ensure legitimate user consent and clean traffic sources
e. PIN Submit
- Mobile content, games, adult, horoscopes, or digital subscriptions
- Carrier billing model (user enters PIN to convert)
- GEO-targeted and strictly regulated by telecom operators
4. Traffic Sources and Promotional Methods
✅ Permitted Traffic Types (subject to campaign terms):
- Display banners (RTB, GDN, DSP)
- Native ads (e.g., Taboola, Outbrain)
- Push notifications
- Pop/under traffic
- Social (FB, TikTok, IG, Twitter – must be approved)
- Search PPC (where allowed)
- SEO/Blog content
- Email (with opt-in lists and ESP compliance)
- Prelander/lander flows
- Direct linking or smartlink routing
❌ Strictly Prohibited:
- Incentivized traffic (unless specifically permitted)
- Forced redirects, auto-submissions, or auto-installs
- Fake user data or bot traffic
- Misleading ads (e.g., “You’ve won $1000”, virus alerts, fake chat invites)
- Misrepresentation of brands or companies (trademark infringement)
- Use of unapproved or modified creatives
- Pornographic or adult content in mainstream offers (unless marked adult)
- Malware, spyware, or code that manipulates behavior
- Cloaking, IP masking, or redirect chains that hide traffic sources
5. Creative Guidelines
Affiliates are only allowed to use:
- Creatives (banners, text, landers) provided in the platform OR
- Custom creatives that are pre-approved in writing
All creatives must:
- Be clear, truthful, and not deceptive
- Comply with advertising platform policies (Google, Meta, etc.)
- Respect intellectual property rights
- Avoid controversial, misleading, or inappropriate content
6. Commission and Payout Terms
a. Earnings and Payouts
- Payouts are based on approved conversions recorded via tracking systems.
- Rates and models are defined per campaign.
- Smartlinks will automatically select best offers based on GEO/device behavior.
b. Payment Frequency
- Default: Net-30, with potential for Net-15 or Weekly based on performance
- Minimum threshold: $100 or equivalent
- Payment Methods: Bank transfer, PayPal, Crypto (USDT/BTC/ETH), others on request
c. Reversals and Adjustments
We reserve the right to reverse or adjust commissions if:
- Leads are determined to be fraudulent, fake, or low quality
- Advertisers request refunds due to chargebacks or poor performance
- Traffic violates campaign restrictions
- There is any dispute or ambiguity in lead tracking
Affiliates found submitting invalid or fraudulent leads may face full balance forfeiture and account banning.
7. Fraud Prevention & Quality Control
We employ both automated anti-fraud technology and manual review to evaluate traffic and conversions. Activities such as IP duplication, bot clicks, repeated lead IDs, unusually high CTRs, and invalid engagement patterns will trigger audits.
Affiliate accounts may be paused, reviewed, or terminated during such checks. Reinstatement is subject to investigation outcome.
8. Compliance with Laws
You agree to comply with all applicable laws and regulations, including but not limited to:
- General Data Protection Regulation (GDPR)
- California Consumer Privacy Act (CCPA)
- Children’s Online Privacy Protection Act (COPPA)
- CAN-SPAM Act
- Telephone Consumer Protection Act (TCPA)
- Local advertising, sweepstakes, and content laws in user-targeted countries
Affiliates are fully responsible for ensuring their campaigns are compliant in each targeted region.
9. Confidentiality
All non-public information including:
- Campaign details, pricing, KPIs
- Advertiser and offer details
- Commission rates, tracking tools
- Platform technology and scripts
…is considered confidential and must not be shared, distributed, or used for purposes outside of this Agreement without written consent.
10. Termination
This Agreement may be terminated:
- By either party with written notice (email)
- Immediately by Master Affiliate Network for any breach, fraud, or violation
- Without compensation for affiliates violating terms or causing advertiser harm
Upon termination:
- Access to the platform is revoked
- Unpaid commissions may be held during investigation
- Affiliate agrees to cease all promotional activities
11. Limitation of Liability
We are not liable for:
- Delays or downtimes in tracking
- Non-payment by third-party advertisers
- Loss of income due to paused offers or market shifts
- Legal penalties arising from affiliate’s own misconduct
Our maximum liability under this Agreement shall not exceed the total commission earned in the preceding 30-day period.
12. Changes to Terms
We may modify this Agreement at any time. Updated terms will be posted on our platform or communicated via email. Continued use of our services constitutes your agreement to the revised terms.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
